Portsmouth, Hampshire, UK – April 1, 2008

Elmdene International Ltd. announced today that it was acquired on March 28, 2008 by Potter UK Holdings, a subsidiary of Potter Electric Signal Company, LLC of St. Louis, Missouri, U.S.A.

Tony and Celia Earl and a group of minority shareholders were the previous owners of Elmdene International Ltd . Beaufort International served as the financial advisor to the Earls and Elmdene ownership throughout the sale process.

Tony Earl, Managing Director of Elmdene, commented: ”The move from present ownership to Potter UK Holdings will provide both companies with complementary expertise in fire and security systems design. In order to better serve our customers, our combined efforts will bring about opportunities to expand both our geographic coverage and product lines. The transparent transition will benefit our customers, employees and industry relationships. Elmdene’s record of growth in recent years should only be enhanced through the expanded capital resources available from Potter.”

Mr. Earl will continue as Chairman of the Board of Elmdene International. Mr. Sean Heskett will serve as President of Potter Europe and Managing Director of Elmdene International. Elmdene specialises in the design and production of sophisticated fire and security detection products such as shock and vibration sensors, internal and external sounders as well as a fully comprehensive line of dedicated power supplies utilised in fire detection, CCTV, intruder alarm and access control applications.

Potter Electric Signal Company is a global leader in the provision of a wide range of fire and security detection systems, including its well renowned fire sprinkler monitoring products and a wide range of fire and security detection products.

Panic Buttons

Company Performance

In the year to June 2007 the Chairman of the Company, Brian Dix, reported "for the second consecutive year the Company achieved excellent sales growth in all markets" and stated that "imaginative product development and exceptional customer service levels continue to be the cornerstones of the Company's success."

The Chairman also said that "imports from China continue to play an important part in the Company's business strategy and in recognition of this the Company has now opened its own office in the Far East". He further commented on "the strengthening of the Company's international marketing team and the increasing investment in product development"

Grading of Magnetic Contacts

The current UK Scheme for the application of standards for intruder and hold-up alarm systems is described in document PD6662:2004 including amendments A1 and A2. This came into effect on 01 October 2006.

Amendment A2 requires that as of 01 April 2007, magnetic contacts used in systems designed to comply with PD6662:2004 +A1+A2 must be marked in accordance with the Security Grading and Environmental Class requirements given in the new magnetic contact product standard. This product standard document is numbered as DD CLC/TS 50131-2-6:2004.

This DD CLC/TS 50131-2-6 product standard, finally ratified for adoption in UK during IFSEC May 2006, introduces some additional requirements for magnetic contacts used in Grade 3 and Grade 4 systems. These requirements focus on the ability of the products to withstand or detect attempted magnetic interference.

Products that previously were identified for Grade 3 systems under the original pre-April 2007 scheme, are unlikely to meet the additional requirements for Grade 3 systems under the new DD CLC/TS 50131-2-6 product standard.

As of April 2007, all magnetic contacts manufactured by Elmdene International Ltd will be correctly graded and identified according to the product standard DD CLC/TS 50131-2-6. This grading will be marked on the product bag label.

All Elmdene magnetic contacts remaining in your local stock that may have been labelled as Grade 3 under the original PD6662 /EN50131-1:1997 scheme will fully meet the new requirements of the new product standard DD CLC/TS 50131-2-6, but at GRADE 2 only. You may therefore continue to use this old stock from April 2007, but only in Grade 2 systems.

There are no changes to the Environmental Classification of Elmdene magnetic contacts between the old and new schemes.

These changes are brought about by the changing nature of the current legislation. The information given here uses all available data as at 1st January 2007. EN3 Junction Box Range

Elmdene has finally brought the humble junction box into the 21st century with the introduction of a new range featuring a spring action micro switch for the lid tamper.

Stylish enclosures house 7, 10 & 26 way terminal blocks to allow the through connection and tampering of cables.  Now your engineers can confidently connect the tamper when using a junction box, maintaining the security and integrity of the system and indeed your company's reputation.

The EN3 range of junction boxes are suitable for use at Grade 3 and Class II compliant, EN3-JB9-HD is Class III compliant. Available through alarm distributors.

Supply facilities

As part of planned growth, Elmdene has taken further space adjacent to its long-standing Portsmouth facility.  This brings the total space available to 3,500m2 in six units.  The latest addition is the Container Receiving Centre where checking and configuring of completed products from our overseas companies is carried out. Once checked, the products are passed to the main warehouse for onward dispatch to our customers. 

Elmdene has been sourcing components in Asia for over ten years and our buyers have seen many changes in buying patterns and the technologies available.
